END USER LICENCE AGREEMENT

IMPORTANT: PLEASE READ THIS END USER LICENCE AGREEMENT ("EULA") CAREFULLY BEFORE INSTALLING OR USING AZIMUTH CONTROLLER CALIBRATOR (THE "SOFTWARE").
This EULA is a legal agreement between you ("you" or "User") and Bored Of Trade Studios ("Publisher", "we", "us" or "our") concerning your installation and use of the Software.
By selecting "I accept the agreement", installing, activating or using the Software, you agree to be bound by this EULA. If you do not agree, do not install, activate or use the Software.
1. LICENCE GRANT
Subject to this EULA and payment of the applicable purchase price, the Publisher grants you a limited, non-exclusive, revocable, non-sublicensable licence to install and use the Software for its intended purpose.
The number of computers, users or activations permitted is the number stated for the licence or product tier purchased. A licence may not be shared between more computers or users than the applicable activation limit permits.
Unless a product tier expressly states otherwise, the licence is granted to the purchaser for personal use or the purchaser's own internal business, training or simulation use. The Software may not be resold, rented, leased, sublicensed, hosted for third parties, or redistributed as a standalone product.
2. INTENDED USE — SIMULATION ONLY
The Software is designed to calibrate, map and interface compatible simulator control hardware with supported Windows simulation software and virtual joystick systems.
THE SOFTWARE IS FOR SIMULATION, TRAINING AND ENTERTAINMENT PURPOSES ONLY.
It is not designed, certified or approved for:
(a) controlling a real vessel, propulsion system, steering system or machinery;
(b) navigation or collision avoidance;
(c) safety-critical, emergency or life-safety functions;
(d) statutory, class, flag-state or regulatory compliance;
(e) operational decision-making aboard an actual vessel; or
(f) any use where failure, delay, incorrect output or loss of availability could cause injury, death, environmental damage or property damage.
You are responsible for ensuring that the Software is used only in an appropriate non-safety-critical simulator environment.
3. ACTIVATION AND LICENCE VALIDATION
The Software uses licence-key services provided through Lemon Squeezy.
Activation may require an Internet connection. The Software may also periodically require online licence validation. An offline grace period may be provided, but its duration may vary by release, licence type or configuration and is not a guarantee of permanent offline operation.
Activation may be refused or an existing activation may cease to be valid if, for example:
(a) the licence key is invalid, expired, disabled or refunded;
(b) the permitted activation limit has been reached;
(c) the licence is being used for a different product or licence tier;
(d) the local activation does not match the computer on which it was created; or
(e) the licence has otherwise been terminated in accordance with this EULA.
The Software provides a deactivation function intended to release an activation before moving the licence to another eligible computer. You should deactivate the Software before deleting its licence data, reinstalling Windows, disposing of a computer, or moving the licence where practicable.
4. RESTRICTIONS
Except to the extent expressly permitted by applicable law or by an applicable third-party open-source licence, you must not:
(a) copy the Software except for reasonable backup or installation purposes;
(b) modify, translate, adapt or create derivative works from the proprietary portions of the Software;
(c) reverse engineer, decompile or disassemble the proprietary portions of the Software;
(d) bypass, defeat, tamper with or circumvent licence activation, validation, usage limits or security controls;
(e) remove or alter copyright, trademark or proprietary notices;
(f) distribute, publish, sell, sublicense, rent, lease or commercially exploit the Software except as expressly allowed by your purchased licence tier;
(g) use the Software to infringe the rights of another person; or
(h) use the Software unlawfully.
Nothing in this EULA restricts any right to reverse engineer, relink, modify or otherwise interact with a third-party open-source component where such a right is granted by that component's licence or cannot lawfully be excluded.
5. THIRD-PARTY SOFTWARE
The Software includes or interoperates with third-party software and open-source components. Those components may be subject to separate licence terms.
Third-party notices and licences supplied with the Software form part of the distribution and are available in the installed Third-Party Notices and Third-Party Licences files.
Where a third-party licence grants you rights that conflict with a restriction in this EULA, the third-party licence controls in relation to that third-party component.
6. vJOY AND OTHER THIRD-PARTY DRIVERS OR SERVICES
vJoy is a separate third-party virtual joystick driver and is not owned by the Publisher. It may be required for simulator output. The installer may offer to open a third-party download page if vJoy is not detected.
You are responsible for deciding whether to install vJoy or any other third-party driver or software. Such third-party software is subject to its own licence, support, security and privacy terms.
Lemon Squeezy is also a third-party service. Purchases are processed by Lemon Squeezy as merchant of record, and Lemon Squeezy's buyer terms and privacy policy apply separately to the purchase transaction and its services.
7. OWNERSHIP
The Software is licensed, not sold. Except for third-party components, all right, title and interest in and to the Software, including its code, design, graphics, documentation and associated intellectual property, remain with the Publisher or its licensors.
No ownership rights are transferred to you under this EULA.
8. UPDATES AND CHANGES
The Publisher may provide updates, fixes, improvements or new versions from time to time but is not obliged to do so unless expressly promised as part of the product or licence tier purchased.
An update may replace or modify a previous version. Major upgrades or materially new products may be offered under different commercial terms.
9. COMPATIBILITY AND CUSTOMER RESPONSIBILITIES
Hardware, Windows, simulator software, virtual joystick drivers and third-party APIs can change independently of the Software.
You are responsible for:
(a) maintaining a compatible Windows computer and supported hardware;
(b) installing required third-party drivers;
(c) testing calibration and mappings before simulator use;
(d) maintaining appropriate backups of profiles and configuration where required; and
(e) verifying that outputs and controls behave as intended in the target simulator.
The Publisher does not guarantee compatibility with every hardware revision, simulator, driver version or future Windows release.
10. WARRANTIES AND STATUTORY RIGHTS
The Software is provided with the warranties, remedies and consumer protections that cannot lawfully be excluded or limited.
Subject to those mandatory rights, and to the maximum extent permitted by law, the Software is provided "as is" and "as available". The Publisher does not warrant that the Software will be uninterrupted, error-free, compatible with every configuration, or suitable for a particular purpose not expressly stated by the Publisher.
Nothing in this EULA excludes, restricts or modifies any statutory consumer right or remedy that applicable law does not permit the parties to exclude, restrict or modify.
11. LIMITATION OF LIABILITY
Nothing in this EULA excludes or limits liability where such exclusion or limitation is prohibited by law, including liability that cannot lawfully be excluded for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the preceding paragraph and to the maximum extent permitted by applicable law, the Publisher will not be liable for indirect, incidental, special, punitive or consequential loss, loss of profit, loss of revenue, loss of business, loss of data, loss of opportunity, or loss arising from use of the Software in a real-vessel, safety-critical or otherwise prohibited environment.
Where liability may lawfully be limited, the Publisher's aggregate liability arising out of or relating to the Software will not exceed the amount actually paid for the licence giving rise to the claim.
12. TERMINATION
This EULA remains in effect until terminated.
Your rights under this EULA may terminate if you materially breach it and fail to remedy the breach where remedy is possible, or if the associated licence is lawfully cancelled, refunded, disabled or terminated.
On termination, you must stop using the Software and uninstall copies for which you no longer hold a valid licence. Provisions which by their nature should survive termination, including ownership, third-party licence rights, disclaimers and limitations of liability, will continue to apply.
13. PRIVACY
Use of the Software's licence activation and validation features involves limited processing of personal and device-related data. Details are set out in the Privacy Notice supplied with the Software.
The desktop application does not intentionally include advertising or behavioural analytics. Calibration values, button mappings and simulator profile settings are stored locally unless you choose to provide them to the Publisher for support.
14. EXPORT AND LAWFUL USE
You must comply with applicable export-control, sanctions and other laws governing your acquisition and use of the Software.
15. GOVERNING LAW
This EULA is governed by the laws of England and Wales, without prejudice to any mandatory consumer-protection rights you may have under the law of your country of habitual residence.
Where a dispute cannot be resolved informally, the courts of England and Wales will have jurisdiction to the extent such a jurisdiction clause is permitted by applicable law. Consumers retain any right to bring proceedings in another forum where mandatory law provides that right.
16. GENERAL
If any provision of this EULA is held invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
A failure to enforce a provision is not a waiver of that provision.
This EULA, together with any licence-tier terms expressly presented at purchase and applicable third-party licence terms, constitutes the agreement between you and the Publisher concerning your licensed use of the Software. Lemon Squeezy's buyer terms separately govern the purchase transaction with Lemon Squeezy as merchant of record.
